Welcome to XachTayMart.

XachTayMart is an online marketplace operated by DoTeck LLC, a Virginia limited liability company ("DoTeck," "XachTayMart," "we," "our," or "us").

Our platform enables independent sellers located in the United States to offer eligible products to buyers located in Vietnam. Sellers may deliver products by hand-carry ("hàng xách tay") or through international shipping, subject to applicable laws and these Terms.

XachTayMart provides the technology platform that connects buyers and sellers. Unless expressly stated otherwise, XachTayMart is not the owner, manufacturer, distributor, importer, exporter, reseller, or seller of products listed by users.

By:

• accessing our Website
• installing our iOS or Android application
• creating an account
• browsing listings
• communicating with users
• purchasing products
• listing products for sale; or
• otherwise using our Services,

you acknowledge that:

• you have read these Terms
• you understand these Terms; and
• you agree to be legally bound by these Terms.

If you do not agree, you must immediately discontinue use of the Services.

XachTayMart operates an online technology platform that facilitates transactions between independent buyers and sellers.

Our Services include, among other things:

• Product listings
• Product search
• AI-assisted search and recommendations
• Messaging between buyers and sellers
• Seller identity verification
• Payment processing through Stripe Connect
• Order management
• User ratings and reviews
• Mobile applications
• Customer support

XachTayMart is not a party to the contract for the sale of goods between a buyer and a seller unless explicitly stated otherwise.

For purposes of these Terms:

Account means a registered user account.

Buyer means any person purchasing or attempting to purchase products through XachTayMart.

Seller means any user listing products for sale.

Marketplace means the XachTayMart platform.

Platform Fee means the service fee charged by XachTayMart.

Services means all products, software, websites, mobile applications, APIs, messaging systems, AI tools, and other services provided by XachTayMart.

User Content means listings, photos, reviews, comments, messages, profile information, and other content submitted by users.

To use XachTayMart, you must:

• be at least 16 years old
• have legal capacity to enter into binding agreements under applicable law
• provide accurate information
• comply with all applicable laws and regulations.

Users under the age of 18 represent that they have permission from a parent or legal guardian where required by applicable law.

We may refuse or terminate accounts that do not meet these requirements.

You are responsible for maintaining the confidentiality of your login credentials.

You agree to:

• use accurate information
• keep your information current
• protect your password
• immediately notify us of unauthorized access.

You are responsible for all activity occurring under your account.

XachTayMart may suspend or terminate accounts suspected of:

• fraud
• identity theft
• abuse
• illegal activity
• repeated policy violations
• unauthorized account sharing.

To improve marketplace safety, XachTayMart may require sellers to complete identity verification before listing products or receiving payouts.

Verification may include:

• Government-issued identification
• Selfie verification
• Phone verification
• Email verification
• Address verification
• Additional Know Your Customer (KYC) information as required by Stripe Connect or applicable law

Failure to complete verification may result in restrictions on selling privileges or account suspension.

Verification does not constitute an endorsement, guarantee, or certification of a seller's honesty, product quality, or legal compliance.

XachTayMart provides a marketplace where independent buyers and sellers may connect.

Unless expressly stated otherwise:

• XachTayMart does not own listed products.
• XachTayMart does not inspect every product.
• XachTayMart does not guarantee authenticity.
• XachTayMart does not guarantee product quality.
• XachTayMart is not the importer or exporter of listed products.
• XachTayMart is not responsible for contracts entered into between buyers and sellers.

The sales contract is formed directly between the buyer and the seller.

Sellers are solely responsible for:

• the accuracy of listings
• product descriptions
• pricing
• product authenticity
• legal ownership of products
• product safety
• lawful export from the United States
• lawful import into Vietnam where applicable
• customs documentation
• shipping
• taxes required by law
• obtaining any licenses or approvals necessary to sell regulated products.

Sellers represent that all products listed:

• are legally owned
• are genuine unless clearly disclosed otherwise
• do not infringe intellectual property rights
• comply with applicable laws
• are not counterfeit.

Sellers may not misrepresent product condition, origin, or authenticity.

XachTayMart recognizes that many sellers personally transport products from the United States to Vietnam.

Sellers are solely responsible for ensuring that:

• transportation complies with airline policies
• transportation complies with customs regulations
• products may legally enter Vietnam
• all required declarations are made
• duties and taxes are paid where applicable.

Buyers acknowledge that delivery timelines for hand-carried products may vary depending on travel schedules, customs processing, weather, transportation disruptions, and other circumstances beyond the seller's control.

XachTayMart does not guarantee customs clearance or delivery dates for hand-carried products.

As a Buyer, you agree to:

• Read product listings carefully before placing an order.
• Ask the Seller any questions before purchasing if product information is unclear.
• Pay the full purchase price and any applicable fees at checkout.
• Provide accurate shipping and contact information.
• Comply with all applicable laws relating to the purchase, import, possession, and use of products.

Buyers acknowledge that products are sold by independent Sellers and that product availability, pricing, delivery times, and return policies may differ between Sellers.

Each Seller is solely responsible for the content of their product listings, including:

• Product title
• Description
• Photos
• Brand
• Model
• Condition
• Quantity
• Country of origin (if applicable)
• Estimated delivery method
• Estimated delivery time
• Return policy
• Price

XachTayMart does not guarantee that every listing is complete, accurate, or error-free. While we may review or remove listings that violate our policies, we do not verify every listing before publication.

All prices displayed on XachTayMart are determined by the individual Seller.

Prices may include or exclude shipping charges, customs duties, taxes, or other fees as disclosed in the listing.

Sellers may change prices for future purchases at any time before an order is placed. Once an order has been confirmed, the agreed purchase price cannot be changed without the Buyer's consent.

In the event of an obvious pricing error caused by a technical malfunction or typographical mistake, XachTayMart or the Seller may cancel the affected order and issue any required refund.

Payments on XachTayMart are processed through Stripe Connect or another payment provider designated by XachTayMart.

By placing an order, Buyers authorize Stripe and XachTayMart to process the transaction in accordance with these Terms.

XachTayMart does not store complete payment card information. Payment information is processed by Stripe in accordance with its own terms and privacy practices.

Payment processing may be subject to fraud screening, identity verification, or additional security checks.

XachTayMart may charge Sellers platform service fees for the use of the Marketplace.

Applicable fees will be disclosed before a transaction is completed.

Unless otherwise stated, Buyers are responsible only for the purchase price and any charges disclosed during checkout.

XachTayMart reserves the right to modify its fee structure from time to time. Changes will not affect transactions that have already been completed.

An order is considered submitted when payment authorization has been successfully completed.

Submission of an order does not guarantee immediate acceptance by the Seller.

A Seller may decline or cancel an order before shipment for reasons including, but not limited to:

• Product is no longer available.
• Pricing error.
• Suspected fraud.
• Buyer information cannot be verified.
• Product cannot legally be shipped.
• Customs or export restrictions.
• Seller is unable to fulfill the order.

If an order is canceled before shipment, the Buyer will receive a refund in accordance with the payment provider's procedures.

Sellers are solely responsible for fulfilling orders.

Sellers may choose one or more delivery methods, including:

• Personal hand-carry transportation ("Hàng Xách Tay")
• International shipping
• Domestic delivery within Vietnam
• Other delivery methods disclosed in the listing

Estimated delivery dates are estimates only and are not guaranteed.

Delivery may be delayed by factors beyond the Seller's or XachTayMart's control, including:

• Airline schedule changes
• Customs inspections
• Weather conditions
• Government actions
• Transportation disruptions
• Public holidays
• Natural disasters
• Other force majeure events

XachTayMart is not liable for reasonable delivery delays resulting from these circumstances.

Some products sold through XachTayMart may be transported across international borders.

The Seller is responsible for complying with all applicable export and shipping laws.

The Buyer is responsible for understanding and complying with any applicable import laws, restrictions, taxes, duties, or customs requirements in the destination country, unless otherwise stated in the listing.

XachTayMart is not the importer of record and is not responsible for customs clearance, import permits, duties, taxes, product seizures, or delays caused by customs authorities.

Because XachTayMart is an online marketplace, each Seller establishes and manages their own return, exchange, and refund policy.

Each product listing should clearly state the Seller's applicable return policy, including, where applicable:

• Whether returns are accepted.
• The return window.
• Eligibility requirements.
• Product condition requirements.
• Return shipping responsibilities.
• Refund or exchange options.
• Any restocking fees or exclusions.

By purchasing a product, the Buyer agrees to the return policy disclosed by the Seller at the time of purchase.

If a Seller does not specify a return policy in the listing, the transaction will generally be considered final, except where a return or refund is required by applicable law or where XachTayMart determines that fraud, counterfeit goods, material misrepresentation, or another significant policy violation has occurred.

XachTayMart does not provide a platform-wide return guarantee and is not responsible for processing returns on behalf of Sellers.

Buyers may request cancellation before a Seller ships the product.

Whether a cancellation request is approved is determined by the Seller unless otherwise required by law.

A Seller may refuse a cancellation request after shipment has occurred or after irreversible costs have been incurred.

If a cancellation is approved before shipment, any refund will be processed through the original payment method, subject to the payment provider's processing times.

Buyers and Sellers are encouraged to communicate directly through XachTayMart's messaging system to resolve disputes.

Where appropriate, XachTayMart may, but is not obligated to:

• Request additional information from either party.
• Review transaction records.
• Review communications conducted through the platform.
• Temporarily hold payouts where permitted by law or payment provider rules.
• Suspend accounts involved in suspected fraud or repeated policy violations.
• Remove listings that violate these Terms.

XachTayMart reserves the right to make administrative decisions regarding access to the Marketplace and enforcement of its policies, but it is not a party to the underlying sales contract and does not guarantee a particular dispute outcome.

To maintain a safe and lawful marketplace, Sellers may only list products that comply with all applicable laws and these Terms.

The following products are prohibited from being listed, sold, advertised, or distributed through XachTayMart unless expressly authorized by applicable law and approved by XachTayMart:

Illegal Products

• Stolen goods
• Counterfeit products
• Pirated software
• Copyright-infringing materials
• Trademark-infringing goods
• Products obtained through fraud

Weapons

Including but not limited to:

• Firearms
• Ammunition
• Explosives
• Fireworks
• Switchblades
• Brass knuckles
• Tasers where prohibited
• Weapon parts regulated by law

Controlled Substances

• Illegal drugs
• Narcotics
• Controlled substances
• Drug paraphernalia

Medicines

Unless expressly permitted by XachTayMart and applicable law:

• Prescription medicines
• Over-the-counter medicines
• Medical injections
• Vaccines
• Medical devices requiring regulatory approval

For clarity, XachTayMart currently does not permit the sale of medicines through the Marketplace.

Food Products

Food products are currently prohibited, including:

• Fresh food
• Frozen food
• Homemade food
• Meat
• Seafood
• Dairy products
• Baby food
• Beverages
• Dietary food requiring refrigeration

Allowed Health & Beauty Products

Subject to applicable laws, Sellers may offer:

• Vitamins
• Dietary supplements
• Cosmetics
• Skin care products
• Beauty products

Sellers are solely responsible for ensuring these products comply with all applicable laws and regulations in both the United States and Vietnam.

Other Prohibited Products

Including but not limited to:

• Hazardous materials
• Human organs
• Live animals
• Tobacco products where prohibited
• Electronic surveillance devices intended for unlawful use
• Adult content prohibited by law
• Products encouraging illegal activity
• Recalled products
• Unsafe products
• Any product prohibited by applicable law

Sellers agree to conduct business honestly, professionally, and in compliance with applicable laws.

Sellers shall not:

• Misrepresent products.
• Upload misleading photographs.
• Sell counterfeit goods.
• Manipulate reviews.
• Circumvent Stripe Connect payments.
• Contact Buyers to avoid platform fees.
• Engage in deceptive pricing.
• Ship products materially different from the listing.
• Violate intellectual property rights.
• Harass Buyers.
• Use multiple accounts to evade enforcement actions.
• Attempt to interfere with the operation or security of the Marketplace.

Sellers are expected to respond to Buyer inquiries within a reasonable time and fulfill accepted orders promptly.

Buyers agree to use the Marketplace responsibly.

Buyers shall not:

• Submit fraudulent orders.
• Abuse the return process.
• File false payment disputes or chargebacks.
• Harass Sellers.
• Use abusive, threatening, discriminatory, or unlawful language.
• Attempt to purchase prohibited products.
• Circumvent the Marketplace to avoid platform fees after being introduced through XachTayMart.
• Interfere with the operation or security of the Marketplace.

Repeated violations may result in suspension or permanent termination of the Buyer's account.

Users retain ownership of the content they submit to XachTayMart, including:

• Product listings
• Product photographs
• Profile photos
• Reviews
• Comments
• Messages
• Videos
• Other uploaded materials

By submitting User Content, you grant XachTayMart a worldwide, non-exclusive, royalty-free, transferable, sublicensable license to:

• Host
• Store
• Copy
• Display
• Translate
• Resize
• Format
• Reproduce
• Distribute
• Promote
• Improve
• Archive

such content solely for the purpose of operating, improving, securing, and promoting the Marketplace.

This license continues only for as long as reasonably necessary for those purposes and subject to applicable law.

You represent that you own or have all rights necessary to submit the content.

Sellers should upload clear and accurate photographs of the actual product whenever reasonably possible.

Images shall not:

• Misrepresent the product.
• Infringe another person's copyright.
• Include offensive content.
• Include illegal content.
• Contain malware or malicious code.

XachTayMart may compress, resize, crop, watermark, or optimize uploaded images for display across different devices.

Buyers may leave reviews based on their genuine purchasing experience.

Reviews should be:

• Truthful
• Respectful
• Relevant
• Based on actual transactions

Reviews may not contain:

• Hate speech
• Personal attacks
• Threats
• False allegations
• Spam
• Promotional content
• Confidential personal information

XachTayMart reserves the right, but not the obligation, to remove reviews that violate these Terms.

XachTayMart does not guarantee the accuracy or completeness of user-generated reviews.

The Marketplace may provide messaging features to facilitate communication between Buyers and Sellers.

Users agree not to use the messaging system to:

• Harass others.
• Send spam.
• Distribute malware.
• Conduct illegal activities.
• Share fraudulent content.
• Solicit payment outside approved payment methods.
• Circumvent platform fees.

For quality assurance, fraud prevention, safety, and customer support, XachTayMart may retain and review messages transmitted through the platform as permitted by applicable law.

XachTayMart may use artificial intelligence ("AI") technologies to enhance the user experience. AI-powered features may include:

• Product search
• Product recommendations
• Listing categorization
• Translation assistance
• Content moderation
• Fraud detection
• Customer support assistance
• Spam prevention
• Personalized suggestions

AI-generated content is provided for informational and convenience purposes only.

While XachTayMart strives to improve the accuracy of AI-powered features, AI output may occasionally be incomplete, inaccurate, or outdated. Users should independently review important information before making purchasing or selling decisions.

XachTayMart does not guarantee the accuracy, completeness, or suitability of AI-generated recommendations and is not liable for decisions made in reliance on such output.

The XachTayMart platform, including its software, design, user interface, logos, trademarks, graphics, text, databases, source code, and other proprietary materials, are owned by or licensed to DoTeck LLC and are protected by applicable intellectual property laws.

Except as expressly permitted by these Terms, you may not:

• Copy
• Modify
• Reverse engineer
• Decompile
• Distribute
• Sell
• Lease
• License
• Create derivative works from
• Publicly display

any part of the Services without prior written permission from DoTeck LLC.

Nothing in these Terms grants you ownership of or rights to XachTayMart's intellectual property except for the limited right to use the Services in accordance with these Terms.

XachTayMart respects the intellectual property rights of others.

If you believe that content on the Marketplace infringes your copyright or trademark, you may submit a written notice to:

• A description of the intellectual property allegedly infringed.
• Identification of the allegedly infringing content.
• A statement that you have a good-faith belief the use is unauthorized.

XachTayMart may remove or disable access to allegedly infringing content while investigating the complaint and may terminate repeat infringers' accounts where appropriate.

Your use of the Services is also governed by the XachTayMart Privacy Policy, which explains how DoTeck LLC collects, uses, stores, shares, and protects your personal information.

By using the Services, you acknowledge that:

• We may collect information necessary to provide the Marketplace.
• We may verify your identity where required.
• We may use information to detect fraud, improve security, comply with legal obligations, and enhance our Services.
• We may share information with trusted service providers, including payment processors, identity verification providers, cloud hosting providers, analytics providers, and law enforcement where required by law.

While XachTayMart implements commercially reasonable administrative, technical, and organizational safeguards to protect user information, no website, mobile application, network, or electronic storage system can be guaranteed to be completely secure.

Users are responsible for:

• Maintaining the confidentiality of their passwords.
• Enabling available account security features.
• Promptly notifying XachTayMart of any suspected unauthorized access.

XachTayMart reserves the right to suspend, restrict, or terminate any account, with or without prior notice, if we reasonably believe that a user has:

• Violated these Terms or other Marketplace policies.
• Submitted false or misleading information.
• Attempted fraud or chargeback abuse.
• Sold prohibited or counterfeit products.
• Violated applicable laws.
• Harassed or threatened another user.
• Circumvented Stripe Connect or attempted to avoid platform fees.
• Compromised the security or integrity of the Marketplace.

Termination of an account does not relieve a user of obligations arising before termination, including payment obligations or ongoing dispute resolution.

The Services are provided on an "AS IS" and "AS AVAILABLE" basis.

To the fullest extent permitted by applicable law, DoTeck LLC disclaims all warranties, whether express, implied, statutory, or otherwise, including any implied warranties of:

• Merchantability
• Fitness for a particular purpose
• Non-infringement; and
• Accuracy or reliability of information.

XachTayMart does not warrant that:

• The Services will be uninterrupted, secure, or error-free.
• Listings are complete or accurate.
• Products will meet a Buyer's expectations.
• Sellers will fulfill their obligations.
• AI-generated recommendations or search results will always be accurate.

Nothing in these Terms limits any rights that cannot legally be disclaimed under applicable law.

XachTayMart is a technology platform that connects Buyers and Sellers.

Unless expressly stated otherwise:

• XachTayMart is not the seller of listed products.
• XachTayMart is not the manufacturer of listed products.
• XachTayMart is not the importer or exporter of listed products.
• XachTayMart does not take title to listed products.
• XachTayMart does not guarantee product quality, authenticity, legality, or fitness for a particular purpose.

The sales contract is entered into directly between the Buyer and the Seller.

To the maximum extent permitted by applicable law, DoTeck LLC, its officers, directors, members, employees, affiliates, licensors, contractors, and service providers shall not be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages arising out of or relating to:

• Use of or inability to use the Services.
• Transactions between Buyers and Sellers.
• Lost profits, revenue, business opportunities, goodwill, or data.
• Delays in shipping or delivery.
• Customs inspections or seizures.
• Government actions.
• Payment processing interruptions.
• AI-generated content or recommendations.
• Unauthorized access to user accounts despite reasonable security measures.

Where liability cannot be excluded, DoTeck LLC's total aggregate liability arising out of a particular claim shall not exceed the greater of:

1 The total platform fees received by XachTayMart in connection with the transaction giving rise to the claim; or

2 USD $100,

unless a greater amount is required by applicable law.

Nothing in these Terms excludes liability that cannot legally be excluded under applicable law.

You agree to defend, indemnify, and hold harmless DoTeck LLC, XachTayMart, and their respective officers, directors, employees, contractors, affiliates, successors, and assigns from and against any claims, damages, liabilities, losses, costs, and reasonable attorneys' fees arising from:

• Your use of the Services
• Your listings or User Content
• Your breach of these Terms
• Your violation of applicable law; or
• Your infringement of another person's rights.

XachTayMart shall not be liable for any delay or failure to perform caused by circumstances beyond its reasonable control, including:

• Natural disasters
• Severe weather
• Fire
• Pandemic or epidemic
• War or terrorism
• Civil unrest
• Labor disputes
• Government actions
• Internet or telecommunications outages
• Payment network failures
• Airline disruptions
• Customs delays; or
• Other events beyond our reasonable control.

XachTayMart may modify, suspend, discontinue, or improve any part of the Services at any time.

We may introduce new features, remove existing functionality, or change eligibility requirements. Where required by applicable law, we will provide reasonable notice of material changes.

We may revise these Terms from time to time.

When material changes are made, we will update the "Effective Date" and, where appropriate, provide notice through the Website, mobile applications, email, or other reasonable means.

Your continued use of the Services after the updated Terms become effective constitutes your acceptance of the revised Terms.

These Terms shall be governed by and construed in accordance with the laws of the Commonwealth of Virginia, United States, without regard to its conflict of laws principles.

Nothing in this section limits any mandatory consumer protection rights that apply under the laws of the jurisdiction where a consumer resides, where such rights cannot be waived.

Before initiating legal proceedings, the parties agree to make a good-faith effort to resolve disputes by contacting the other party in writing.

If a dispute cannot be resolved informally, it may be brought before a court of competent jurisdiction located in the Commonwealth of Virginia, unless applicable law requires otherwise.

Nothing in this section prevents either party from seeking emergency injunctive or equitable relief where appropriate.

By creating an account or using the Services, you consent to receive electronic communications from XachTayMart, including:

• Account notifications
• Security alerts
• Transaction confirmations
• Customer support communications
• Policy updates; and
• Other notices relating to your use of the Services.

Where required by law, marketing communications will be sent only with your consent, and you may opt out at any time.

If any provision of these Terms is found to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect.

Failure by DoTeck LLC to enforce any provision of these Terms shall not constitute a waiver of that provision or any other rights.

You may not assign or transfer your rights or obligations under these Terms without the prior written consent of DoTeck LLC.

DoTeck LLC may assign or transfer these Terms in connection with a merger, acquisition, corporate restructuring, financing, or sale of all or substantially all of its assets.

These Terms, together with the Privacy Policy and any other policies expressly incorporated by reference, constitute the entire agreement between you and DoTeck LLC regarding your use of XachTayMart and supersede all prior or contemporaneous communications relating to the Services.
